• Territory discussions;
• Operational coordination;
• Onboarding activities;
• Relationship management;
• Business consultation.

However, all customer-facing and business-facing representation shall continue under the 5asec brand identity.

2. No Guaranteed Income or Returns

No communication, proposal, projection, presentation, estimate, marketing material, onboarding discussion, or business interaction shall constitute:

• Guaranteed profits;
• Guaranteed ROI;
• Assured sales volume;
• Guaranteed customer acquisition;
• Guaranteed territory success;
• Guaranteed operational outcomes.

Business performance depends on multiple factors including market conditions, operator capability, investment structure, competition, operational efficiency, customer demand, and regional factors beyond brand control.

Prospective partners are advised to conduct independent commercial evaluations before making business decisions.

3. Territory Rights & Approval Process

All territories, operational zones, and expansion opportunities remain subject to:

• Market feasibility;
• Operational evaluation;
• Competitive assessment;
• Internal review;
• Infrastructure suitability;
• Strategic business planning.

5asec reserves the unrestricted right to:

• Approve;
• Reject;
• Modify;
• Delay;
• Suspend;
• Or discontinue

any expansion proposal, territory request, or business opportunity at its sole discretion.

Submission of enquiries or payment of preliminary fees shall not automatically create territorial rights unless formally documented through executed written agreements.

4. Independent Operational Responsibility

Franchisees, operators, or business associates may function as independent business entities.

Such entities shall remain independently responsible for:

• Staffing;
• Local licences;
• Taxation;
• Employment compliance;
• Operational liabilities;
• Statutory obligations;
• Local commercial conduct.

5asec shall not be responsible for unauthorised representations, local operational violations, independent financial liabilities, employment disputes, or misconduct occurring at independently operated locations.

5. Brand Representation & Communication

Authorised representatives associated with the 5asec ecosystem may communicate through:

• Phone calls;
• WhatsApp;
• Emails;
• CRM systems;
• Onboarding portals;
• Social media;
• Operational communication platforms.

Business discussions may be coordinated through authorised operational or consulting representatives acting within the broader 5asec ecosystem.

However, public-facing brand representation shall continue under the 5asec identity.

6. Intellectual Property & Brand Protection

All:

• Trademarks;
• Logos;
• Business systems;
• Operational methods;
• Training structures;
• Digital assets;
• Marketing formats;
• Software systems;
• Operational documents;
• Photographs;
• Videos;
• Website materials;
• Brand representations,

associated with 5asec remain protected intellectual property.

No person or entity may copy, reproduce, imitate, modify, distribute, publish, commercially exploit, or misuse any proprietary material without written authorisation.

Unauthorised usage may result in operational restrictions, legal action, or intellectual property enforcement proceedings.

7. Training, Support & Operational Assistance

Operational guidance, onboarding support, training assistance, technology access, marketing coordination, or business consulting support may vary depending on:

• Business category;
• Operational model;
• Geography;
• Investment structure;
• Commercial agreements;
• Operational feasibility.

No fixed support structure shall be deemed permanently guaranteed unless expressly documented in executed written agreements.

8. Lead Submission & Enquiry Disclaimer

Submission of:

• Enquiry forms;
• WhatsApp messages;
• Business proposals;
• Investment discussions;
• Onboarding requests;
• Territory requests,

shall not create:

• Third-party disputes;
• Local commercial risks;
• Independent operator misconduct.

All business decisions undertaken by applicants or operators shall remain their independent commercial responsibility.

11. Governing Law & Jurisdiction

This Disclaimer and all related commercial interactions shall be governed by the laws of India.

Any disputes arising from franchise, onboarding, partnership, consulting, or business expansion activities shall remain subject to the exclusive jurisdiction of courts located in Faridabad, Haryana.
